Jerry’s Famous Deli Inc. announced June 6 that it has been informed of a Form 13D filing, which was filed by two entities: Mitchell Equity Investments and Edward D. and Anna Mitchell Foundation, who have accumulated 6.76% of the company’s common stock. According to the filing, the intent is to seek privatization of the company.

The company will evaluate how the proposal fits into the company’s ongoing evaluation of all potential strategic alternatives. A committee of independent directors has been formed to evaluate any proposals in relation to which other members of the board may have a conflict due to their equity holdings.
